Terms and conditions
Terms for sales from Strictly Design DK ApS.
1. About us
These terms and conditions apply to sales from Strictly Design DK ApS, CVR 42984353, Vester Boulevard 17, 8920 Randers NV, Denmark, email ss@strictly-design.dk, phone +45 40 30 65 83 ("Strictly Design").
2. Who the terms apply to
The terms apply to sales to business customers, including dealers, and to consumers. If you are a consumer, the mandatory rules of Danish consumer law apply regardless of these terms, and they take precedence if there is any conflict. Section 10 summarises the most important consumer rights.
3. Quotes and orders
Quotes and fixed prices are given on request, for example through the order form on the website or by email. Quotes are valid for 30 days from the date of the quote, unless otherwise stated. An agreement is entered into when Strictly Design has sent a written order confirmation. Errors in the order confirmation must be reported immediately after receipt.
4. Prices
Prices and the currency are stated in the quote and the order confirmation. For business customers, prices exclude VAT, freight and any duties, unless otherwise stated. For consumers, prices include VAT and the total price, including freight, is stated before the order is placed.
5. Payment
Payment terms are stated in the quote and on the invoice. In case of late payment, interest and fees are charged in accordance with the Danish Interest Act.
6. Delivery
Delivery time and delivery terms are stated in the order confirmation. A stated delivery time is indicative, unless it has expressly been agreed as fixed. For business customers, the risk for the goods passes to the buyer according to the agreed delivery terms. For consumers, the risk passes when you have received the goods.
7. Retention of title
To the extent permitted by law, the goods remain the property of Strictly Design until the full price has been paid.
8. Inspection on receipt and transport damage
Please inspect the goods on receipt. Visible transport damage should be noted on the consignment note and reported to Strictly Design as soon as possible, and for business customers no later than two working days after receipt. This does not limit a consumer's statutory rights.
9. Defects and complaints
Complaints about defects must be made in writing to ss@strictly-design.dk within a reasonable time after the defect was discovered or should have been discovered, and within the deadlines that follow from the Danish Sale of Goods Act. The complaint must include a description of the defect and preferably photos. In the event of a defect, Strictly Design may choose to repair, deliver a new item or give a proportionate reduction, in accordance with the Danish Sale of Goods Act.
10. Consumers
Right of withdrawal. If you are a consumer and buy from us at a distance, for example by email or through the order form, you generally have 14 days from the day you receive the goods to withdraw from the agreement without giving a reason. You withdraw by sending a clear message to ss@strictly-design.dk. You pay the direct cost of returning the goods. The right of withdrawal does not apply to goods that are made to your specifications or have a clearly personal character. We will tell you before you place your order if this applies to your order.
Complaints. You have a two-year complaint period under the Danish Sale of Goods Act. You must complain within a reasonable time after you discover a defect. A complaint made within two months after you discovered the defect is always in time. You can also bring a complaint to the Danish Consumer Complaints Board (Forbrugerklagenævnet) at naevneneshus.dk.
11. Use and maintenance
The chairs must be used and maintained according to the user manual. According to the manual, the chairs are designed for one person with a maximum weight of 110 kg, and you must not sit on the footrest or lift on the raised footrest, as this can damage the mechanism. Damage caused by incorrect use, overloading or insufficient maintenance is not covered by the right to complain.
12. Liability
Strictly Design is liable under the general rules of Danish law and the Danish Product Liability Act. In relation to business customers, Strictly Design is not liable for indirect loss, loss of operation or loss of profit, unless the loss is due to gross negligence or intent. These terms do not limit any liability that cannot be limited by law, including towards consumers.
13. Force majeure
Strictly Design is not liable for delay or failure to deliver caused by circumstances beyond the company's control, for example strikes, war, government action, transport disruption or delays at suppliers.
14. Personal data
We process personal data as described in our privacy policy.
15. Governing law and venue
Agreements are governed by Danish law. Disputes with business customers are settled by the Danish courts, with the Court of Randers (Retten i Randers) as the court of first instance. Consumers keep their statutory right to bring a claim before the court that applies by law.
